 DETROIT RED WINGS FACEOFF ESPORTS TOURNAMENT

Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE CHANCES OF WINNING. Subject to all applicable laws, regulations, and ordinances. VOID WHERE PROHIBITED BY LAW IN THE UNITED STATES. The Detroit Red Wings 2019 Esports Faceoff (the “Tournament”) begins January 25, 2019 at 9:00 A.M. ET and ends February 24, 2019 at the close of play of the Finals (approximately 7:00 P.M. ET) (the “Tournament Period”). All times in the Tournament refer to Eastern Time (“ET”) unless otherwise indicated.

The Tournament is sponsored by Detroit Red Wings, Inc. (“Sponsor”), 2525 Woodward Avenue, Detroit, MI 48201.

The Tournament is open only to players (each a “Player,” and, collectively, the “Players”) who, at the time of entry and at all times during the Tournament:

(i) have an active XBOX LIVE® (“XBL”) or PlayStation® Network (“PSN”) account;

(ii) have a GAMERSALOON (defined below) account and agree to the GAMERSALOON terms and conditions relating to service, data and privacy;

(iii) own or have access to the EA Sports NHL® 19 video game;

(iv) are legal residents and physically located in the fifty (50) United States (including the District of Columbia; and

(v) are at least sixteen (16) years of age or older.  Any participant who has not yet reached the age of majority in his/her state and is at least the age of sixteen (16) must obtain the permission of his/her parent or legal guardian in order to enter and play, must be accompanied by his/her parent or legal guardian in the event he/she participates in Tournament (each as defined below), and if the participant wins the Finals, the Prize (defined below) will be awarded in the name of his/her parent or legal guardian.  

Employees, officers, directors, agents and representatives of Sponsor, the National Hockey League (“NHL”), its member teams, Beyond Gaming, LLC (“GAMERSALOON”), Electronic Arts, any venues in connection with the Tournament, and their respective parents, subsidiaries, affiliates, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfilment, and marketing agencies, website providers, web masters, (collectively, the “Tournament Entities”) and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household (whether related or not) are not eligible to enter or win.  Sponsor and/or GAMERSALOON reserve the right to verify the eligibility of Players and Winners (as defined below).  Participation constitutes Player’s full and unconditional agreement to: (i) these Official Rules for the Tournament (“Official Rules”); (ii) the GAMERSALOON policies (as available at support.GAMERSALOON.com); and (iii) Sponsor’s and/or GAMERSALOON’s decisions, which are in their absolute discretion and which are final and binding in all matters related to the Tournament.

Further, participation constitutes permission from Players, except where prohibited by law, to use Player’s name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter developed, throughout the world in perpetuity, without additional compensation, notification, permission, or approval.

2 Registration

The Online Qualifiers will be held on http://www.GAMERSALOON.com using XBL or PSN, as applicable, per the above Schedule and Players will need an active account on the GAMERSALOON platform and XBL and/or PSN in order to participate.

Players may register and compete in one (1) Online Qualifier per calendar date and one (1) Live Qualifier scheduled, however, Players who have won any of the previous Online or Live Qualifiers may NOT participate in any further Qualifiers.

Registrations stay open for each Online Qualifier up until the respective bracket for that Online Qualifier goes live as scheduled provided, however, Sponsor may in its discretion limit the number of Players for any Online Qualifier.

2.1 Regions

This Tournament is open to Players who are legal residents of, and are physically located in, the fifty (50) U.S./D.C. If a Player is not a resident of and located in the fifty (50) U.S./D.C., he/she may not participate.

3 Qualification Process

In order to qualify for the Finals, Players can register for one (1) Online Qualifier and one (1) Live Qualifier per calendar date, subject to the terms below.

Each Online Qualifier consists of a single elimination bracket. At the start of each Online Qualifier, the GAMERSALOON platform randomly seeds and matches opponents against each other.

Each Live Qualifier consists of a single elimination bracket. At the start of each Live Qualifier, GAMERSALOON will randomly seeds and match opponents against each other.

By winning their matches, Players advance in the bracket. The final Player of every Online and Live Qualifier advance to the Finals.

Multiple Registrations

Players may register and participate in one (1) Online and Live Qualifier per calendar day as long as they did not qualify for the Finals in any of the previous Online or Live Qualifiers.

Seeding

For the Online and Live Qualifiers stage, there will be random seeding for each console.

The Finals will be played out in Single-Elimination bracket with random seeding for each console

The winner of the Finals will be crowned champion of the Tournament.

3.1 Game Settings

Each game must be created using the following settings. For Live Finals, tournament staff will set up the game with the settings detailed below. Any settings not mentioned below will be on default.

Icing: Hybrid

Tie Break: Continuous Overtime

No ragging the puck. If you hold the puck in your own zone for more than 15 seconds we will consider that ragging the puck.

Teams QUALIFIERS: Any Current 2019 NHL® Team (with standard rosters of current NHL only)

Teams LIVE FINAL: Detroit Red Wings (with standard roster of current NHL only)

Music and Announcers turned off

Lowest ranked team is home (Online Qualifiers)

Coin Flip to determine who is home team for Championship Game of Live event

3.2 Online and Live Qualifier Format

All matches in the Online Qualifier will be played in a Single Elimination bracket on the GAMERSALOON platform.

All matches in the Live Qualifier will be played in a Single Elimination bracket at the selected venue.

3.3 Finals Format

There will be a PS4 bracket and an XBOX bracket. Each match within the bracket Finals shall each be played as a Best-Of-One (BO1) match. The top player from each bracket, will advance to a Best-Of-One (BO1) final round. The winner of the final round will receive the first place prize. The loser of the final round will receive the second place prize. The runners-up from each bracket will advance to a Best-Of-One (BO1) consolation round to determine the winner of the third place prize. The final round and the consolation round will be placed exclusively on the XBOX.

3.4 After Successful Qualification

If a Player manages to successfully qualify for the Finals by winning any of the Online or Live Qualifiers, he or she will be contacted via email by the Sponsor and/or GAMERSALOON on further proceedings. The email address used to contact the Player will be the one used for registration on the GAMERSALOON platform. Players should ensure they regularly check this email so as to not miss out on any information.

In case there are any question after qualifying, players may reach out to GAMERSALOON directly, using the subject “Detroit Red Wings Qualification” and sending an email to tournaments@GAMERSALOON.com.

3.5 Travel & Accommodation

Players must be eligible for travel to the Finals at his/her own expense. In the event the Player has not reached the age of  eighteen (18), but for clarity, is over the age of sixteen (16), the Player must be accompanied by his/her parent or legal guardian at his/her parent’s or legal guardian’s own expense. Prior to any travel, each qualified Player, or if the Player is a minor the Player’s parent or legal guardian, will be required to sign an Affidavit or Declaration of Eligibility, Liability & Publicity Release.

Costs

Player is responsible for all costs to participate in the Tournament.  Each Player will be responsible for any and all other costs not specified in these Official Rules.

Inability to Travel

In the event a qualified Player is unable or unwilling to travel to the Finals, he or she will be replaced by the last Player he/she had beaten in that respective Online or Live Qualifier.

In the event the replacement Player(s) is/are unable to advance for any reason, to the Finals, Sponsor and GAMERSALOON shall determine another replacement Player(s) based on performance in the Qualifiers in their sole discretion.

4 Prizes

The top three (3) Players of the Finals in accordance with the Official Rules will be considered the Tournament winners (the “Winners,” each a “Winner”) and will be entitled to a prize (each a “Prize, or collectively, “Prizes”).  Except where legally prohibited, the Winners (specifically, each winning Player) will be required to complete and return (or have their parent/legal guardian sign if a Winning Player is a minor), an Affidavit or Declaration of Eligibility, Liability & Publicity Release and any required tax documentation in order to claim his/her Prize (if applicable).  

In the event that a Winner is disqualified for any reason, such Winner will be deemed to have forfeited the Prize with no further rights and the Prize will be, in Sponsor’s discretion, given to his/her replacement the Prize for the Finals or distributed equally among the remaining Winners as described below. Noncompliance with the foregoing, failure to abide by these Official Rules, or return of the Prize notification as non-deliverable may result in disqualification and naming of a replacement Player.  In the event that a Player does not attend, is disqualified or forfeits during the Online or Live Qualifiers, the Sponsor and/or GAMERSALOON may, but are not required to, determine a replacement Player that must satisfy all eligibility requirements of each of the aforementioned stages. In the event that a Player is disqualified during the Finals, the Sponsor and/or GAMERSALOON will not determine a replacement Player and the Prize will be distributed among the remaining Winners.

THE WINNER(S) IS/ARE SUBJECT TO VERIFICATION BY SPONSOR AND/OR GAMERSALOON, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE TOURNAMENT.  A PLAYER IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL PLAYER’S ELIGIBILITY HAS BEEN VERIFIED AND PLAYER HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE, REGARDLESS OF WHAT THE GAME PLAY MAY INDICATE.

Taxes for the Prizes and the travel provided hereunder are the sole responsibility of Winners and/or Players who advance to the Live Regional Finals or the Grand Finals.  Approximate Retail Value (“ARV”) of each Prize will be determined by Winner’s allocated portion of the Prize Pool and ARV. For any Prize with an ARV of USD $600 or greater, Sponsor will furnish an Internal Revenue Service Form, for the ARV of Prize provided hereunder for the year in which Prize was won.

5 Console Requirements

The Online Qualifiers will be hosted for both XBOX® and PlayStation® 4 consoles.

For the Championship game this will change and XBOX will be used exclusively.

Players may bring their controllers and Sponsor or GAMERSALOON will provide  controllers.

6 Match Procedure

Once the Tournament goes live, the bracket for each of the Online Qualifiers will be automatically populated with random seeds. Players will be notified of their match via email and internal message on GAMERSALOON.com.

The moment each round launches you will receive an email informing you of who your opponent is for that round and the match details will be posted under My Matches on the My Saloon page.

You have 10 minutes to check-in and be ready to play, failure to do so will result in a forfeit.

Upon completion of the match, report your results under My Matches on the My Saloon page.

6.1 Match Issues

In the event of any issues, Players should use the “CONTACT SUPPORT” form on GamerSaloon.com or send an email to customercare@gamersaloon.com.

In general, Players are responsible for ensuring they are ready and able to play their matches at the start of the Tournament. This includes, but is not limited to:

Ensuring a stable internet connection

Ensuring they are able to connect to their XBL / PSN accounts

Ensuring they have all the prerequisites to play an NHL® 19 game on their respective console

Ensuring they are on time

Failure in one or all of these aspects may result in Players’ matches being forfeited.

Disputes are filed under my matches on the My Saloon page. Any time a rule is claimed to have been violated evidence is required to back that claim or it will be considered invalid.

Any rule claimed to be broken based on pre-game settings, functions, or settings that can be viewed when the game starts, such as amount of time per quarter or period, skill level, rosters, injured players, disallowed teams, who is supposed to be home team, jersey color, weather, game title, fatigue, even teams, whatever it may be can be considered invalid per review based on the amount of time played and score. Any claimed broken rule based on settings or functions that can be viewed pregame in a match played more than 25% through will be automatically invalid regardless of score.

If you wait until your opponent has an advantage to exit and make a claim regarding settings, your claim will be considered invalid. If you do not agree with the settings or team being used do not start the game.

If you intentionally exit a match while losing or the game is tied and provide no valid evidence that would give you grounds to exit the match you will concede the remaining time.

If you claim a win in a game you are losing or lost and provide nothing that would give you grounds to do so it will result in an automatic forfeit.

Claiming a win while in game and the outcome still in the balance can result in an unfavorable decision. If the game is played to a point where we deem the game to be in hand the score is what will be enforced. If your opponent claims a win while in game and you continue to play past that point, your claim will automatically be considered invalid.

Disconnections - Regardless of who's end the game disconnects on site policy in the event of a disconnection is to finish the game by starting a new game, playing the remaining time out, and adding the score of the game prior to disconnection to the end of the remaining time played.

Circumstances when the game drops need to be recreated. If you and your opponent start a new game with the intent to play the remaining time out and you have an issue with teams, game settings, the clock, whatever it may be, you are expected to procure evidence and exit the match immediately.  If you continue and play the game out, your claim will be considered invalid.

Players are expected to exit the match when the remaining time has been played out. If the game is not exited once the remaining time has passed any time played is valid to the final score. All point spreads will be added on to the final score upon completion of regulation unless the rules state otherwise or you and your opponent agree to something different and that agreement can be verified. If the portion of the game played is not to the end of a quarter or period it will be subject to individual review.

Refusal to follow the disconnection policy in a game that is tied or you are losing with no grounds to do so will result in forfeiture of the remaining time. Refusal to follow the disconnection policy in a game that you are winning with no grounds to do so can also result in an unfavorable decision. We have no grounds to force your opponent to complete a match at a later date or time. If you are uncooperative, unresponsive, or unable to complete a match that you are losing, is tied, or one possession, within a reasonable amount of time (any more than 5-10 minutes) it will result in a forfeit. If you are uncooperative, unresponsive, or unable to complete a match that you are winning by more than one possession, within a reasonable amount of time (any more than 5-10 minutes), it can result in an unfavorable decision.

GamerSaloon reserves the right to forfeit someone from the remaining time in the event of a disconnection if the score and/or circumstances dictate the remaining time need not be played or the situation cannot be recreated.

If someone drops from the game excessively (more than twice) it can result in an unfavorable decision.

If a player is kicked out for "excessive grieving" you treat it as a disconnection unless evidence can be provided to show it should be enforced differently. If you are kicked out for excessive grieving more than once in a match you are losing you will forfeit the remaining time. If you are kicked out for excessive grieving more than once in a game you are winning it can result in an unfavorable decision.

7 Rules and Violations

7.1 Forbidden in-game actions

The following actions are strictly prohibited during a game and can result in a Player’s account being suspended and the offending Player being disqualified from further participation in the Tournament:

Using any form of external script

Using bugs which change the game principle

Using any 3rd party software that isn't allowed by the game publisher and that can give an unfair advantage to a Player or team

Using any communicative device

Using guest accounts to compete

Not having a full copy of the game

Cheating

Exploiting a bug or glitch in the software

Causing another Player to be dropped or disconnected from the software

7.2 Sanctions

A Player may be cautioned or disqualified if he/she commits any of the following offences:

- Shows dissent by word or action towards other Players or the Tournament Entities.

- Uses insulting language and/or gestures towards other Players or the Tournament Entities

- Is guilty of unsportsmanlike behaviour in a match or otherwise acts in manner that is detrimental to or incompatible with the brand standards of any of the Tournament Entities

- Griefing/Trolling

- Ghosting (i.e. watching video streams and/or listening to live coverage of Player’s own match while the match is still in progress)

- Spamming

- Misleading of Live Support Admins

For the activities referenced in 7.1 and 7.2, issues must be reported to an admin using the “HELP-SUPPORT” page and appropriate evidence needs to be provided.

Decisions are irrevocable and will be executed without delay in Sponsor’s and GAMERSALOON’s discretion. Offending Players may be disqualified from further participation in the Tournament in the sole discretion of the Sponsor and GAMERSALOON.

8 Other

8.1 Stand-ins

Stand-ins are not allowed in the Tournament unless stated otherwise.

8.2 In-Game Name/Avatars

In-Game Names/Avatars are the responsibility of the Players provided, In-Game Names/Avatars shall be consistent with general standards of decency, shall not be derogatory to any Tournament Entities, profane or offensive, shall not violate the proprietary rights of any third party and shall be subject to change as required by the Sponsor and/or GAMERSALOON in their discretion.

8.3 Player Apparel

All apparel worn by Players in connection with the Live Qualifiers or Finals shall be subject to approval by the Sponsor and GAMERSALOON in their sole discretion. Further, Sponsor and GAMERSALOON may require that specific apparel be worn by Players during the Finals.  By participating, Players agree to wear such required apparel, if applicable.

8.4 Confidentiality

Sponsor and/or GAMERSALOON require that Players not disclose and refrain from communicating (either privately or publicly via social media or otherwise) information related to the Tournament without consent and until after any information related to the outcome of the Tournament has been made public. Players will be required to sign documentation accordingly.

8.5 Player Brand Sponsorship and Promotion

Players may not display or promote any third-party brands without prior approval by Sponsor and GAMERSALOON.

9 Prize Restrictions

Any and all applicable federal, state, and local taxes and all fees, costs and expenses related to acceptance and use of Prize provided are the responsibility solely of winning Players.  Prize cannot be substituted, assigned, or transferred by winning Players; however, Sponsor and/or GAMERSALOON reserve the right to make equivalent prize substitutions at their sole discretion.  Only the number of Prizes stated in these Official Rules are available to be won in the Tournament.  If, by reason of a print or other error, more Prizes are claimed than the number set forth in these Official Rules, an alternate winner will be selected in accordance with the winner selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of Prizes available.

GENERAL CONDITIONS:  WARNING: ANY ATTEMPT BY A PLAYER OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE AND/OR SPONSOR/GAMERSALOON PLATFORM ASSOCIATED WITH THIS TOURNAMENT OR UNDERMINE THE LEGITIMATE OPERATION OF THE TOURNAMENT MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND/OR GAMERSALOON RESERVE THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor’s and/or GAMERSALOON’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.  Sponsor and/or GAMERSALOON reserve the right at their sole discretion to disqualify any Player it finds to be attempting to cheat, tamper with or undermine the entry process, the website, and/or the legitimate operation of the Tournament; exploit a bug or glitch in the software; cause another Player to be dropped or disconnected from the software; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person or Player.  The failure of Sponsor and/or GAMERSALOON to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor and/or GAMERSALOON (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules.

Sponsor and/or GAMERSALOON and their agents are not responsible for (1) any incorrect or inaccurate information, whether caused by Players, printing errors or by any of the equipment or programming associated with or utilized in the Tournament; (2) technical issues or failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or hardware, software or internet issues; (3) unauthorized human intervention in any part of the entry process or the Tournament; (4) technical or human error which may occur in the administration of the Tournament or the processing of game play or registrations or check-ins; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Player’s participation in the Tournament or receipt or use or misuse of any Prize.  If technical issues arise, matches should be continued as normal by the Players once such issues are resolved; in the case of a server crash, difficulty in contacting the network or other unforeseen circumstances, it is the Player’s responsibility to contact the Sponsor and/or GAMERSALOON for assistance. If, for any reason, the Tournament is not capable of running as planned, including infection by computer virus or bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor and/or GAMERSALOON, which corrupt or affect the operation, administration, security, fairness, integrity or proper conduct of this Tournament, Sponsor and/or GAMERSALOON may, in their sole discretion, void any suspect entries and (a) modify the Tournament or suspend the Tournament to address the impairment and then resume the Tournament in a manner that best conforms to the spirit of these Official Rules in their absolute discretion; and/or (b) award the Prize to an alternate potential Winner in accordance with the Winner selection criteria described above.

PUBLICITY; LIMITATIONS OF LIABILITY AND RELEASES:  BY PARTICIPATING IN THIS TOURNAMENT, EACH PLAYER AGREES THAT TOURNAMENT ENTITIES, AND THEIR PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING, WEBSITE PROVIDERS, WEB MASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS (THE “RELEASED PARTIES”) WILL HAVE NO LIABILITY WHATSOEVER FORANY LIABILITY FOR LOSSES OR DAMAGES OF ANY KIND , (OTHER THAN PERSONAL INJURY OR DEATH) TO PERSONSOR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF A PRIZE, ENTRY OR PARTICIPATION IN THIS TOURNAMENT, HOWEVER PROVIDED THAT NO MEMBER OF THE RELEASED PARTIES ACTED INTENTIONALLY OR WITH GROSS NEGLIGENCE .  THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM.  BY PARTICIPATING IN THIS TOURNAMENT, PLAYER AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES, OR LOSSES OF ANY KIND (OTHER THAN PERSONAL INJURY OR DEATH), INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONSOR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS TOURNAMENT OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE, HOWEVER PROVIDED THAT NO MEMBER OF THE RELEASED PARTIES ACTED INTENTIONALLY OR WITH GROSS NEGLIGENCE.  

EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THIS TOURNAMENT SHALL CONSTITUTE AND SIGNIFY THE PARTICIPANT’S AGREEMENT AND CONSENT THAT SPONSOR AND/OR GAMERSALOON AND THEIR DESIGNEES MAY USE THE PARTICIPANT’S NAME, GAMER TAG, NICKNAME OR ALIAS, CITY, STATE, PROVINCE, COUNTRY, IMAGE OR LIKENESS, GAME FOOTAGE (INCLUDING, BUT NOT LIMITED TO, THAT FROM ANY MATCH THAT HAS BEEN LIVE STREAMED, BROADCAST, OR RECORDED), BIOGRAPHICAL INFORMATION AND/OR PRIZE INFORMATION IN CONNECTION WITH THE TOURNAMENT FOR PROMOTIONAL, ADVERTISING OR OTHER PURPOSES, WORLDWIDE, IN ANY AND ALL MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING THE INTERNET, WITHOUT LIMITATION AND WITHOUT FURTHER PAYMENT, NOTIFICATION, PERMISSION OR OTHER CONSIDERATION, EXCEPT WHERE PROHIBITED BY LAW. ALL ENTRIES AND MATERIALS SUBMITTED TO SPONSOR AND/OR GAMERSALOON OR THEIR RESPECTIVE AGENTS IN CONNECTION WITH THE TOURNAMENT (“SUBMISSIONS”), ALONG WITH ALL COPYRIGHT, TRADEMARK AND OTHER PROPRIETARY RIGHTS ASSOCIATED THEREWITH, ARE HEREBY IRREVOCABLY AND FREE OF CHARGE ASSIGNED BY PLAYER TO SPONSOR AND/OR GAMERSALOON UPON SUBMISSION, AND SUBMISSIONS WILL NOT BE RETURNED TO ANY PLAYER.  FURTHERMORE, PLAYERS UNDERSTAND THAT SPONSOR AND/OR GAMERSALOON AND/OR THEIR RESPECTIVE AGENTS WILL VIDEO, PHOTOGRAPH AND OTHERWISE DOCUMENT THE TOURNAMENT (“FOOTAGE”).  PLAYER AGREES AND CONSENTS THAT, AS BETWEEN THE PARTIES, SPONSOR AND/OR GAMERSALOON SHALL OWN THE FOOTAGE AND SUBMISSIONS AND THAT SPONSOR AND/OR GAMERSALOON, THEIR RESPECTIVE DESIGNEES, ASSIGNEES AND LICENSEES SHALL HAVE THE RIGHT TO EDIT, EXPLOIT, ADAPT, SUBLICENSE, DISTRIBUTE, POST, CREATE DERIVATIVE WORKS FROM, COPY, STORE, OPERATE WITH COMPUTERS AND OTHER DATA PROCESSING EQUIPMENT (E.G. MOBILE PHONES, SMARTPHONES, TABLET PCS, E-PADS OR E-READERS),  USE, OFFER AND DISTRIBUTE IN THE INTERNET BY ALL KNOWN MEANS OF TRANSMISSION SUCH AS CABLE, SATELLITE, BROADCASTING SYSTEMS, MAKE PUBLICLY AVAILABLE VIA ALL MEANSUSE THE FOOTAGE OR SUBMISSIONS, IN WHOLE OR IN PART, AND IN COMBINATION WITH OTHER MATERIALS, IN ANY MANNER, FOR ANY ADVERTISING, PROMOTIONAL, TRADE, COMMERCIAL OR OTHER PURPOSES IN ANY AND ALL MEDIA, NOW KNOWN OR HEREAFTER DEVELOPED, WORLDWIDE IN PERPETUITY AND, TO THE EXTENT ALLOWED UNDER THE APPLICABLE LAWS, WITHOUT FURTHER PAYMENT OR CONSIDERATION, NOTIFICATION OR PERMISSION.  TOURNAMENT ENTITIES SHALL NOT INCUR ANY LIABILITY WHATSOEVER TO THE EXTENT TOURNAMENT ENTITIES CHOOSE TO REFRAIN FROM ANY EXPLOITATION OF THEIR RIGHTS HEREUNDER.  EACH PLAYER WILL INDEMNIFY THE TOURNAMENT ENTITIES, RELEASED PARTIES AND ANY LICENSEE OF SPONSOR AND/OR GAMERSALOON AGAINST ALL CLAIMS, DAMAGES, LIABILITIES, AND EXPENSES (INCLUDING REASONABLE COUNSEL FEES AND LEGAL EXPENSES) ARISING OUT OF ANY BREACH OF THESE TERMS.  

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS TOURNAMENT, INCLUDING EACH WEBSITE ASSOCIATED WITH THIS TOURNAMENT AND ALL PRIZES, ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.  SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES OR CONDITIONS, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.  CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

PRIVACY:  GAMERSALOON collects the information necessary for it and the Sponsor to operate the Tournament at the time a Player registers his/her GAMERSALOON and XBOX LIVE or PSN account, and without limiting GAMERSALOON’s rights under its Online Privacy Policy, which can be found at https://www.GAMERSALOON.com/en/fit/privacy, GAMERSALOON and the Sponsor will use such information to contact a Player for matters and events related to the operation of this Tournament.  Information collected from each Player will be shared with the Sponsor of the Tournament, whose Online Privacy Policy can be found at: https://www.nhl.com/info/privacy-policy.

Players agree that Sponsor and/or GAMERSALOON and their agents, affiliates, subsidiaries, representatives or service providers may use Players’ personal information submitted with entry for purposes of future marketing by Sponsor and/or GAMERSALOON, such as to notify them of a product or promotion that Sponsor and/or GAMERSALOON think may be of interest. Please see each of GAMERSALOON’s and the Sponsor’s Privacy Policies for information about the choices that may be available to you to opt out of such promotional communications.  By participating in this Tournament, each Player acknowledges his/her agreement to the terms of Sponsor’s and GAMERSALOON’s Privacy Policies.

DISPUTES:  Except where prohibited, Player agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Tournament or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the courts situated in Detroit, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Tournament, but in no event solicitors/attorneys’ fees or other costs of bringing a claim; (3) under no circumstances will Player be permitted to obtain awards for, and Player hereby waives all rights to claim, indirect, punitive, incidental, exemplary, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased, and, (4) in no event shall Players rescind this agreement or seek injunctive or any other equitable relief.    All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, and/or the rights and obligations of the Player and Sponsor and/or GAMERSALOON in connection with the Tournament, shall be governed by, and construed in accordance with, the laws of Michigan, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than that of Michigan.
